Broker–Carrier Agreement — summary of terms
Between JFL Logistics, LLC (broker, MC 1421642, USDOT 3877674, 2522 Edward Babe Gomez Ave, Omaha, NE 68107) and the carrier identified in this application.
Who does what
JFL arranges freight as a broker. The carrier hauls it under its own active authority, with its own drivers, equipment and safety program. No employment relationship is created.
No re-brokering
JFL never passes a load to another broker. The carrier never re-brokers or double-brokers a JFL load; doing so ends the agreement and voids payment protection on that load.
The rate con is the rate
Every load moves under a written rate confirmation issued before pickup. The number on the rate confirmation is the number on the invoice — no renegotiation after delivery, no deduction the carrier did not agree to in writing.
Payment
Standard pay is 15 days from the day the proof of delivery arrives. Quick pay pays in 2 days for a 2% fee, chosen per load. Detention pays $50 per hour after 2 hours free at each stop; TONU $150; layover $200 per night; lumper reimbursed at cost on the same invoice. Insurance and verification
The carrier keeps liability and cargo coverage current and provides a W-9 and a certificate of insurance. JFL verifies every carrier by phone to the number on the FMCSA record before any tender.
Payment security
JFL will never change the carrier's payment details because of an email. Any change is confirmed by phone to the number on file.
Term
Either side may end the agreement with written notice; payment owed for delivered, documented loads is unaffected.
